These Terms of Service ("Terms") constitute a legally binding agreement between Nossa Data, Inc. ("Nossa Data," "we," "us," or "our") and the individual or entity ("Customer," "you," or "your") accessing or using our cloud-based ESG reporting and sustainability data management platform (the "Service"). Please read these Terms carefully before using the Service.
By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you represent that:

To access the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration process. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to:
Nossa Data is not liable for any loss or damage arising from your failure to comply with these account security obligations.
Your subscription may include a defined number of authorized user seats. You may invite authorized users within your organization to access the Service under your account. You are responsible for ensuring that all authorized users comply with these Terms. Each user account is personal and may not be shared or transferred to another individual.
The Notre Data Service is a software-as-a-service (SaaS) platform designed to assist regulated companies with ESG data collection, validation, framework mapping, and regulatory disclosure. Core features include:
Nossa Data reserves the right to modify, update, or discontinue features of the Service at any time, with or without notice. We will use reasonable efforts to notify customers of material changes to existing features in advance. New features may be subject to additional terms or fees.
We may make certain features available in beta as part of an early access program. Beta features are provided "as is" without warranty and may not be subject to the service level commitments described in Section 8. Feedback you provide about beta features may be used by Nossa Data without restriction or compensation.
The Service is offered under subscription plans with fees as described on our pricing page at nossadata.org/pricing or as agreed in a separate Order Form. Plans are available on a monthly or annual basis. Annual subscriptions are billed in advance for the full year and are not eligible for pro-rated refunds upon cancellation except as described in Section 4.6.
All subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date. For annual subscriptions, we will send a renewal reminder by email to the billing contact on file no fewer than 30 days before the renewal date. You authorize Nossa Data to charge your payment method on file for each renewal period.
We reserve the right to adjust subscription fees at any time. For existing subscriptions, we will provide at least 60 days' advance written notice of any price increase before the change takes effect at your next renewal. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new fees.
We use Stripe, Inc. as our third-party payment processor. By providing payment information, you authorize Nossa Data and Stripe to charge your payment method for all applicable fees. You represent that you are authorized to use the payment method provided. If payment is declined, we will notify you and provide a grace period to update your payment information before the account is suspended.
All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, duties, or similar governmental assessments, including sales, value-added, or withholding taxes, associated with your subscription. If Nossa Data is required to collect such taxes, they will be added to your invoice.
Monthly subscriptions are non-refundable for the current billing month after the billing date. Annual subscriptions cancelled within 14 days of the initial subscription start date are eligible for a full refund. After 14 days, annual subscriptions are non-refundable. Refund requests should be submitted to [email protected].
Overdue invoices accrue interest at 1.5% per month (or the maximum rate permitted by law if lower) from the due date. Nossa Data reserves the right to suspend Service access for accounts with overdue balances after providing written notice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree not to:
Notre Data reserves the right to investigate suspected violations and suspend or terminate accounts where violations are confirmed, without liability to you.
You retain all right, title, and interest in and to all data, content, and information that you upload, submit, or transmit through the Service ("Customer Data"). Notre Data claims no ownership over Customer Data. You grant Notre Data a limited, non-exclusive, royalty-free license to use Customer Data solely to provide and improve the Service as described in these Terms and our Privacy Policy.
To the extent that Customer Data includes personal data of EU or UK residents, Notre Data processes such data as a data processor acting under your instructions as the data controller. Our Data Processing Agreement (DPA), which forms part of these Terms, governs such processing. By accepting these Terms, you also accept the DPA. A copy of the DPA is available upon request at [email protected].
You may export your Customer Data in CSV or JSON format at any time through the platform settings. Upon request, Notre Data will provide a full data export package within 10 business days.
Following termination of your subscription, Notre Data will retain Customer Data for 90 days during which you may request an export. After 90 days, Customer Data will be permanently deleted from production systems. Backup copies will be purged within 180 days of termination.
The Service, including its software, code, algorithms, user interface, visual design, documentation, and any improvements or modifications thereto, is and remains the exclusive intellectual property of Notre Data, Inc. and is protected by copyright, trademark, patent, and other intellectual property laws. These Terms do not transfer any ownership interest in Notre Data's intellectual property to you.
Subject to these Terms and payment of applicable fees, Notre Data grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period solely for your internal business purposes.
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Notre Data a worldwide, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that Feedback into our products and services without obligation to you. Notre Data has no obligation to act on any Feedback.
Notre Data may reference your company name and logo as a customer for marketing purposes (website, case studies, press materials) unless you notify us in writing that you do not consent to such use.
Notre Data commits to 99.9% monthly uptime for the core reporting and data management features of the Service ("SLA"). Uptime is calculated as: (total minutes in month – unscheduled downtime minutes) / total minutes in month × 100.
Planned maintenance windows are excluded from uptime calculations. We will provide at least 48 hours' advance notice of scheduled maintenance via email and in-app notification, and we will use reasonable efforts to schedule maintenance during off-peak hours (Saturdays 02:00 – 06:00 US Eastern Time).
If monthly uptime falls below 99.9%, you are eligible for service credits as follows:
To receive an SLA credit, you must submit a written request to [email protected] within 30 days of the end of the affected month. Credits are applied to future invoices and are not redeemable for cash.
Notre Data provides email and in-platform support during business hours (Monday – Friday, 09:00 – 17:00 US Eastern Time, excluding US public holidays). Enterprise plan customers are eligible for priority support with a response time target of 4 business hours for critical issues.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." NOTRE DATA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOTRE DATA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOTRE DATA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTRE DATA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO NOTRE DATA IN THE 12 MONTHS PRECEDING THE CLAIM.
Our DATA does not guarantee the accuracy, completeness, or regulatory acceptability of any ESG disclosure generated using the Service. You are solely responsible for reviewing outputs, engaging appropriate professional advisors (legal, accounting, sustainability), and making final decisions about the content of your regulatory filings.
You agree to defend, indemnify, and hold harmless Notre Data, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, penalties, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
You may cancel your subscription at any time through the account settings page or by contacting our support team at [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.
Notre Data may suspend or terminate your account immediately, with written notice, if:
Upon termination, your license to use the Service terminates immediately. Provisions of these Terms that by their nature should survive termination will continue in force, including Sections 6 (Data Ownership), 7 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution).
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts, and both parties consent to the personal jurisdiction of those courts.
Before filing any formal legal action, both parties agree to make reasonable good-faith efforts to resolve disputes informally by providing written notice of the dispute and allowing 30 days for the other party to respond and attempt resolution.
These Terms, together with our Privacy Policy, Cookie Policy, and any executed Order Forms or Data Processing Agreements, constitute the entire agreement between you and Notre Data regarding the Service and supersede all prior and contemporaneous agreements and understandings.
Notre Data reserves the right to modify these Terms at any time. Material changes will be communicated via email to the registered account holder and/or prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after the effective date of the amended Terms constitutes acceptance.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
Failure by Notre Data to enforce any provision of these Terms will not constitute a waiver of that provision or Notre Data's right to enforce it at a later time.
You may not assign or transfer your rights or obligations under these Terms without Notre Data's prior written consent. Notre Data may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.
Neither party will be liable for delays or failures in performance to the extent caused by circumstances beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, or cyberattacks, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate the impact.
